This license agreement is a legal agreement between you (either an individual or, if purchased for an entity, an entity) and Klangfreund GmbH (hereafter called "Klangfreund") for the use of the Multimeter software including related media, related documentation and other related goods manufactured by Klangfreund (hereafter called "Multimeter").
By installing or using the Multimeter you agree to be bound by the terms of this license agreement.
Subject to the limitations described in this license agreement, Klangfreund, as licensor, hereby grants you, the licensee, a non-exclusive, perpetual license to use the Multimeter in accordance with this license agreement and the documentation provided by Klangfreund.
The Multimeter is available in two different editions: The Multimeter Demo and the full Multimeter. Each edition has its own installer. The full Multimeter installer is available to you after you purchase a license.
You may install and use the Multimeter on at most three computers provided that these computers belong to you and that the Multimeter is used on only one computer at a time. If you own multiple licenses for the Multimeter, the before mentioned numbers shall be multiplied by the number of licenses you own (Example: With 5 licenses you can install the Multimeter on up to 15 computers that belong to you and you can use it on up to 5 of these computers at the same time).
All rights not explicitly granted in this license agreement are reserved by Klangfreund.
You may not sell, rent, lease, sublicense, transfer, resell or otherwise distribute the Multimeter.
You may not alter, merge, modify, adapt or translate the Multimeter, or decompile, reverse engineer, disassemble, or otherwise reduce the Multimeter to a human-perceivable form. You may not merge the Multimeter into another software or hardware product nor create derivative works based upon the Multimeter.
The Multimeter is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. All title and intellectual property rights related to the Multimeter are owned by its author. Unauthorized copying of the Multimeter, in whole or in part, is explicitly forbidden.
The Multimeter is licensed to you, not sold nor given. This license agreement does not constitute a transfer or sale of ownership rights for the Multimeter. Except for the license rights granted above, Klangfreund retains all rights for the Multimeter.
The Multimeter is licensed without any warranty. It is provided on an "as is" basis.
Klangfreund reserves the right at any time to cease the support of the Multimeter and to alter prices, features, specifications, capabilities, functions, licensing terms, release dates, general availability or other characteristics of the Multimeter.
You agree that in no event will Klangfreund be liable for any kind of damage, material, immaterial or corporal, that arise as a result of the malfunctioning or misuse of the Multimeter. You assume full responsibility for all possible consequences of your use of the Multimeter.
This license agreement contains the entire agreement between you and Klangfreund related to the Multimeter and supersedes all prior agreements and understandings, whether oral or written.
If any provision hereof shall be held illegal, invalid or unenforceable, in whole or in part, such provision shall be modified to the minimum extent necessary to make it legal, valid and enforceable, and the legality, validity and enforceability of all other provisions of this License Agreement shall not be affected.
This license agreement is governed by the laws of Switzerland. Each party for itself and its property, hereby submits to the jurisdiction and venue of St. Gallen, Switzerland in relation to any claim or dispute that may arise with respect to this license agreement and any judgment that may be rendered in connection with any such claim or dispute. This License Agreement will be interpreted as if the agreement were made between Swiss residents and performed entirely within Switzerland.
This Agreement is effective until terminated. This Agreement, including the license to use the Multimeter, will terminate automatically if you fail to comply with any term or condition.
